Terms of Service

1. Acceptance of Terms

By creating an account or using DocRunner ("the Service"), you agree to these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

DocRunner is a document signing and generation platform that allows you to upload documents, place signing fields, send documents for electronic signature, and track signing progress. The Service integrates with Monday.com and other third-party services.

3. Accounts

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.

4. Electronic Signatures

DocRunner facilitates the collection of electronic signatures in compliance with the ESIGN Act (15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA). You acknowledge that:

• Electronic signatures collected through DocRunner have the same legal effect as handwritten signatures when all parties consent to transact electronically.
• DocRunner captures signer consent, timestamps, IP addresses, and browser information to create a legally defensible audit trail.
• You are responsible for ensuring that your use of electronic signatures complies with applicable laws in your jurisdiction.
• DocRunner is not a law firm and does not provide legal advice. Consult an attorney for specific legal questions about electronic signatures.

5. Your Content

You retain all rights to the documents and content you upload to DocRunner. By uploading content, you grant us a limited license to store, process, and transmit that content as necessary to provide the Service. We do not access, review, or use your documents for any purpose other than operating the Service.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Send documents that contain malware or malicious content
• Forge signatures or misrepresent the identity of signers
• Attempt to gain unauthorized access to other accounts or systems
• Use the Service to send unsolicited bulk communications
• Reverse engineer, decompile, or disassemble the Service

7. Plans and Billing

• Free plans are subject to usage limits as described on our pricing page.
• Paid plans are billed monthly or annually. Prices are subject to change with 30 days notice.
• You may upgrade, downgrade, or cancel at any time. Changes take effect at the next billing cycle.
• Refunds are not provided for partial billing periods.
• If you exceed your plan limits, you will be prompted to upgrade. Existing documents are never affected.

8. Third-Party Integrations

DocRunner integrates with Monday.com, Stripe, and other third-party services. Your use of those services is governed by their respective terms. We are not responsible for the availability, accuracy, or policies of third-party services.

9. Limitation of Liability

To the maximum extent permitted by law, DocRunner and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Termination

We may suspend or terminate your access to the Service if you violate these terms. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately. We may retain audit trail data as required for legal compliance.

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes via email or through the application at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
